Odd Mosaic Digital Studios– Web Development & Design

Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the services provided by Odd Mosaic Digital Studios (“Company”, “we”, “our”, “us”).

By engaging in services with us, you (“Client”, “you”, “your”) agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

1. Services
We provide custom web development and design services tailored to your project’s goals and objectives, as outlined in the project proposal or contract. These may include front-end design, back-end development, branding, and related services.

2. Client Responsibilities
You agree to provide timely access to necessary information, content, feedback, and approvals throughout the course of the project. This includes but is not limited to text content, images, branding assets, hosting information, and third-party logins where applicable.

3. Timeline & Delays
We strive to deliver projects within the estimated timeframe. However, **if a project exceeds one (1) month beyond the agreed completion date due to a lack of required information, content, or feedback from the client, additional fees may apply**. These fees will be assessed based on the delay’s impact and the resources reserved for your project.

4. Payments & Invoicing
Payment terms will be outlined in the proposal or invoice. Projects may require a deposit before work begins. Full payment is due upon completion unless otherwise specified. Late payments may be subject to late fees.

5. Revisions & Scope Changes
Revisions are limited to those specified in your project agreement. Additional revisions or scope changes may incur extra charges, which will be communicated and approved in writing before proceeding.

6. Ownership & Licensing
Upon full payment, you will own the final deliverables of your project. We reserve the right to showcase the work in our portfolio and promotional materials unless a confidentiality agreement is in place.

7. Termination
Either party may terminate the agreement with written notice. In the event of termination, you agree to pay for all work completed up to the date of termination.

8. Liability
We are not liable for any losses, damages, or issues that may arise from the use of the completed website or its components. **It is your responsibility to maintain your website and ensure compliance with applicable laws—unless an ongoing maintenance plan has been purchased with us on a monthly basis**, in which case we will assist with applicable updates and compliance tasks as outlined in your plan.

9. Amendments
We reserve the right to update these Terms at any time. You will be notified of significant changes, and continued use of our services after such updates constitutes acceptance of the new terms.

10. Governing Law
These Terms are governed by the laws of Ohio, United States of America.
